Terms and Conditions of Sale

1. AGREEMENT: These Terms and Conditions of Sale ("Terms") constitute the complete agreement between Alliance Chemical ("Seller") and the applicant/buyer ("Buyer") for all credit purchases.

2. CREDIT TERMS: Credit terms are subject to approval by Seller. Standard terms are Net 30 days from date of invoice. Seller reserves the right to modify credit terms, reduce credit limits, or revoke credit privileges at any time without prior notice.

3. PAYMENT: All invoices are due and payable within the agreed-upon terms. Past due accounts are subject to a service charge of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is less.

4. ORDERS: All orders are subject to acceptance by Seller. Seller reserves the right to refuse any order. Minimum order requirements may apply.

5. PRICING: Prices are subject to change without notice. Prices in effect at the time of shipment shall apply unless otherwise agreed in writing.

6. SHIPPING AND DELIVERY: Unless otherwise specified, all shipments are FOB origin. Risk of loss passes to Buyer upon delivery to the carrier. Seller is not responsible for delays caused by carriers, acts of God, or circumstances beyond Seller's control.

7. CLAIMS AND RETURNS: Claims for shortages, damages, or defects must be reported to Seller within 48 hours of receipt. Returns require prior written authorization from Seller. Unauthorized returns will not be accepted. Restocking fees may apply.

8. WARRANTIES: Seller warrants that products conform to their published specifications at the time of shipment. SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

9. LIMITATION OF LIABILITY: Seller's liability shall not exceed the purchase price of the product giving rise to the claim. In no event shall Seller be liable for incidental, consequential, special, or punitive damages.

10. HAZARDOUS MATERIALS: Buyer acknowledges that certain products may be classified as hazardous materials. Buyer assumes all responsibility for the safe handling, storage, use, and disposal of products in accordance with all applicable federal, state, and local regulations.

11. INDEMNIFICATION: Buyer shall indemnify, defend, and hold harmless Seller from any claims, damages, or expenses arising from Buyer's use, handling, storage, or disposal of products purchased from Seller.

12. SECURITY INTEREST: Seller retains a purchase money security interest in all products sold until full payment is received. Buyer authorizes Seller to file UCC financing statements as necessary.

13. DEFAULT: In the event of default, Buyer shall be responsible for all collection costs, including reasonable attorney's fees. Seller may suspend shipments and revoke credit privileges.

14. PERSONAL GUARANTEE: The individual signing this application personally guarantees payment of all amounts due to Seller under this agreement.

15. GOVERNING LAW: This agreement shall be governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Harris County, Texas.

16. AUTHORIZATION: By signing below, the applicant certifies that all information provided is true and correct, authorizes Seller to make credit inquiries, and agrees to be bound by these Terms and Conditions.
